Ms. Wagner, age 58, has been a Director of the Corporation since November 1, 2004. She is Vice President, Strategy and Insights, Pepsi-Cola Company, a position she has held since September 2006. Prior to that time she was Vice President of Consumer and Market Knowledge, Procter and Gamble from 2005 to 2006, Vice President of Market Research, Personal Care Group for the Gillette Company from 2002 to 2005 and Vice President of Strategic Market Intelligence, Duracell, from 1998 to 2002. If elected, Ms. Wagner will serve as a Class A Director until the 2011 Annual Meeting.
