Overview
Rhonda L. Brauer was named corporate secretary of The New York Times Company in 2002, after having served as assistant secretary since 1996. She retains her position as senior counsel, which she has held since 1992. Ms. Brauer's responsibilities continue to include securities, financial and transactional work including: preparation of Forms 10-K, 10-Q, 8-K, S-3 and proxy statements; preparation for monthly board meetings and annual stockholders meeting; negotiation of acquisitions, divestitures, bank credit agreements, private placements, licensing and other commercial agreements; stock repurchases; disclosure and insider trading issues; stock option plan and employee stock purchase plan legal compliance; Section 16 compliance for executives, and commercial issues for foreign bureaus. Ms. Brauer joined the Company as senior counsel in 1992. Previously she was an associate at the law firm of Cleary, Gottlieb, Steen & Hamilton in New York and Brussels since 1984. Ms. Brauer received a B.A. degree in history from Cornell University, Ithaca, N.Y., in 1981 and a J.D. degree from Indiana University School of Law, Bloomington, Ind., in 1984.
