Ralph J. Roberts, 88, has served as a director and Chair of the Executive and Finance Committee of the Board since November 2002. He is the father of Mr. Brian L. Roberts. At its meeting on December 10, 2008, the Board of Directors the Board also elected Ralph J. Roberts as Founder and Chairman Emeritus of the Board of Directors in lieu of his current position as Chair of the Executive and Finance Committee of the Board. Mr. Roberts will continue as an active director and employee of the Company, providing the benefit of his years of experience to the Board, senior executives, and employees. As a result of these actions, Mr. Roberts is no longer a named executive officer of the Company under Securities and Exchange Commission proxy rules.
