Mr. May has been a director and the President and Chief Operating Officer of the Company since April 1993. Since then, he has also been a director or manager and officer of certain of the Company's subsidiaries. Additionally, Mr. May has been President and a founding partner of Trian Fund Management since November 2005. From its formation in January 1989 to April 1993, Mr. May was President and Chief Operating Officer of Trian Group. He was President and Chief Operating Officer and a director of Triangle from 1983 until December 1988. Mr. May has also served as a director of Encore Capital Group, Inc. since February 1998. Mr. May has served as a member of the Investment Committee of Deerfield Triarc since December 2004. Mr. May is 64 years of age. Triarc has entered into contractual settlements with its President and Chief Operating Officer, Peter W. May, evidencing the termination of their employment agreements as of June 29, 2007. On June 29, 2007, Peter W. May resigned as the President and Chief Operating Officer of Triarc Companies, Inc. May will continue to serve on Triarc's Board of Directors as a Vice-Chairman.
