Howard L. Clark, Jr. was a director of the Company from 1986 to 1990, and was an advisor to the Board from 1990 to 1993 when he was re-elected as a director. Mr. Clark has served as Vice Chairman of Lehman Brothers, Inc. since 1993 and served as Chairman and CEO of Shearson Lehman Brothers Inc. from 1990 to 1993. Prior to joining Shearson Lehman Brothers Inc., Mr. Clark was Executive Vice President and Chief Financial Officer of American Express Company. He is also a director of Lehman Brothers, United Rentals, Inc., Walter Industries, Inc. and Mueller Water Products, Inc.
