On November 28, 2007, the Board of Directors elected Donald H. Layton to the Board of Directors and designated Mr. Layton as Chairman of the Board of Directors. Mr. Layton retired in 2004 after 29 years at JP Morgan Chase and its predecessors, serving most recently as Vice Chairman, and as a member of its three person Office of the Chairman and its Executive Committee.
