Fitch Places Electronic Data Systems on Watch Positive on Hewlett-Packard Buy

NEW YORK, May 13, 2008 (BUSINESS WIRE) -- Fitch Ratings has placed Electronic Data Systems Corp.'s (NYSE:
EDS) ratings on Rating Watch Positive following Hewlett-Packard
Company's (HP) proposed acquisition of EDS in an all-cash transaction
valued at $25 per share, or approximately US$13.9 billion on an
enterprise value basis. The terms of the transaction have been
approved by HP's and EDS's boards of directors. The acquisition is
expected to close in the second half of calendar 2008, subject to
regulatory approvals.

Fitch has placed the following ratings for EDS on Rating Watch
Positive:

--IDR at 'BBB';

--Senior unsecured debt at 'BBB';

--Bank credit facility at 'BBB'.

Approximately $4.1 billion of debt is affected by Fitch's action,
including the $1 billion revolving credit facility.
